/Colabitoil Sweden AB will be subject to a new listing process and will continue to be traded on Spotlight’s observation list

Aktierna i Colabitoil Sweden AB (”Colabitoil” eller ”Bolaget”) är sedan den 20 juli 2020 observationsnoterade efter att Bolaget den 20 juli 2020 offentliggjorde pressmeddelandena ”Colabitoil genomför strukturaffär med Smart Energy Sweden Group AB” och ”Colabitoil förvärvar aktiepost i Smart Energy Sweden Group AB”. Spotlight bedömde därav att Bolaget genomgick en väsentlig förändring.
Bolaget har därefter, den 21 augusti 2020, offentliggjort pressmeddelandet ”Colabitoil förvärvar Norrsundets Hamn AB”.
Mot bakgrund av ovanstående information bedömer Spotlight vid en samlad bedömning att Colabitoil genomgår en genomgripande förändring och har därför, i enlighet med gällande Regelverk, beslutat att Bolaget ska genomgå en ny noteringsprövning som villkor för Bolagets fortsatta notering. Syftet med noteringsprövningen är att säkerställa att Bolaget uppfyller samtliga noteringskrav.
Under noteringsprövningen sker handeln i Colabitoils aktier på observationslistan enligt gällande Regelverk, med målet att så snart som möjligt, om noteringsprövningen godkänns, flyttas till den ordinarie listan. I det fall Bolaget inte kommer att kunna uppfylla noteringskraven kommer Spotlight att besluta om avnotering.

Colabitoil Sweden AB will be subject to a new listing process and will continue to be traded on Spotlight’s observation list
The shares in Colabitoil Sweden AB (”Colabitoil” or ”the Company”) are since July 20, 2020 traded on Spotlight´s observation list due to the fact that, the Company has announced the press releases “Colabitoil genomför strukturaffär med Smart Energy Sweden Group AB” and ”Colabitoil förvärvar aktiepost i Smart Energy Sweden Group AB”. In reference to the information, Spotlight considered that the Company was undergoing a far-reaching change in the business of the Company.
The Company has thereafter, on August 21, 2020, announced the press release ”Colabitoil förvärvar Norrsundets Hamn AB”.
With reference to the disclosed information, Spotlight consider that Colabitoil is undergoing a far-reaching change in the business of the Company. In accordance with the current rules, Spotlight has therefore decided that the Company will be subject to a new listing process. The reason for the new listing process is to ensure that the Company fulfil all the terms in the listing requirements.
During the listing process, Colabitoil’s shares will continue to be traded on Spotlight’s observation list, in accordance with the Rulebook. Spotlight will, given approval of the listing process, work towards a transfer to the ordinary list. If the Company is not able to fulfil the terms in the listing agreement Spotlight will delist the Company.
