Spotlight Stock Market har beslutat att genomföra ett planerat handelsstopp i My Beat AB ("Bolaget"):s aktie imorgon den 2 oktober 2026 kl. 09:45 i samband med Bolagets extra bolagsstämma.
Bolagsstämman kommer bland annat ta ställning till beslut om förvärv av Oyatel AS. Spotlight offentliggjorde den 1 september 2026 i pressmeddelande ”My Beat AB ska genomgå ny noteringsprövning / My Beat AB will be subject to a new listing review” att Bolaget ska genomgå en ny noteringsprövning i samband med förvärvet av Oyatel AS som ännu ej är avslutad. För det fall Bolaget genomför förvärvet kommer Bolaget aktie att vara handelsstoppad fram till dess att den nya noteringsprövningen är avslutad i enlighet med Spotlights regelverk p. 2.21 och 6.2.
Bolagstämman kommer även att besluta om likvidation för det fall full kapitaltäckning inte visas. För det fall bolagsstämman beslutar om att Bolaget ska gå i likvidation kommer handeln i Bolagets aktie att återupptas i samband med att beslutet offentliggörs för att därefter avnoteras 10 handelsdagar efter offentliggörandet i enlighet med Spotlights regelverk 6.2 och 6.4.

Skälet till handelsstoppet är:
- iv. Om investerarna inte i tillräcklig omfattning eller på lika villkor har tillgång till information om Bolaget eller Aktierna
Finansinspektionen har underrättats om handelsstoppet och har i enlighet med 22 kap. 1 § lagen (2007:528) om värdepappersmarknaden beslutat att det ska bestå tills vidare.
Planned Trading halt in My Beat AB’s share
Spotlight Stock Market has decided to implement a planned trading halt in My Beat AB (the “Company”)’s share tomorrow October 2, 2026, at 09:45 a.m. in connection with the Company’s Extraordinary General Meeting.
The Extraordinary General Meeting will, among other matters, consider and resolve upon the proposed acquisition of Oyatel AS. Spotlight announced on September 1, 2026, through the press release “My Beat AB ska genomgå ny noteringsprövning / My Beat AB will be subject to a new listing review”, that the Company will be subject to a new listing review in connection with the acquisition of Oyatel AS, which has not yet been completed. Should the Company complete the acquisition, trading in the Company’s shares will remain halted until the new listing review has been finalized in accordance with Spotlight’s regulations section 2.21 and 6.2.
The Extraordinary General Meeting will also resolve upon the liquidation of the Company should the Company’s share capital not be fully restored. If the extraordinary General Meeting resolves that the Company shall enter into liquidation, trading in the Company’s shares will be resumed upon the announcement of such resolution and the shares will subsequently be delisted 10 trading days following the announcement, in accordance with Spotlight’s regulations section 6.2 and 6.4.

The reason for the trading halt is as follows:
- iv. If investors do not have access to sufficient information about the Company or the Shares;
The Swedish Financial Supervisory Authority has been notified and in accordance with Chapter 22, section 1 of the Securities Markets Act (2007:528) decided that this trading halt shall remain until further notice.
