Den 29 augusti 2019 observationsnoterades aktierna och teckningsoptionerna i QuickCool AB (”QuickCool” eller ”Bolaget”) med hänvisning till det förelåg väsentlig osäkerhet avseende Bolaget och Bolagets framtida finansiering.
Den 3 november 2019 kl. 22:30 offentliggjorde QuickCool pressmeddelandet “Förändrar bolaget till ett holdingbolag med inriktning att investera i cannabis och alternativmedicinska marknader som även förser bolaget med finansiering” och kl. 23:28 “Kallelse till extra bolagsstämma i QuickCool AB (publ)”. Med anledning av detta bedömer Spotlight att Bolaget genomgår en genomgripande förändring. Spotlight har därför, på sedvanligt sätt, beslutat att Bolaget ska genomgå en ny noteringsprövning som villkor för Bolagets fortsatta notering. Syftet med noteringsprövningen är att säkerställa att Bolaget uppfyller samtliga noteringskrav gällande bland annat verksamhet, lönsamhet och finansiell förmåga, ägare, ledning, styrelse, sundhet och kapacitet för informationsgivning.
Enligt gällande Regelverk blir ett bolag observationsnoterat under noteringsprövningen. Under noteringsprövningen sker handeln i QuickCools finansiella instrument på observationslistan, med målet att så snart som möjligt, om noteringsprövningen godkänns, flyttas tillbaka till den ordinarie listan. I det fall Bolaget inte kommer att kunna uppfylla noteringskraven kommer Spotlight att besluta om avnotering.

QuickCool AB will be subject to a new listing process and will continued to be traded on Spotlights’s observation list
On August 29, 2019, the shares and subscription options in QuickCool AB (”QuickCool” or “the Company”) were given observation status with reference to material uncertainty about the Company and the uncertainty regarding the Company’s financial situation.
On November 3, 2019, at 22:30 QuickCool announced the press release “Proposes to become a holding company with the new direction of investing in cannabis and alternative medicine that also provides financing for the development of QuickCool® SYSTEM” and at 23:28 “Kallelse till extra bolagsstämma i QuickCool AB (publ)”. In reference to the information, Spotlight consider that the Company is undergoing a far-reaching change in the business of the Company. In accordance with the current rules, Spotlight has therefore decided that the Company will be subject to a new listing process. The reason for the new listing process is to ensure that the Company fulfil all the terms in the listing agreement in relation to, among other things, the company’s operation, profitability and financial ability, owners, management, board, reputability requirement and capacity to disclose information.
In accordance with the Rulebook a company will be placed on the observation list during the listing process. In connection to the new listing process QuickCool’s shares and subscription options will continue to be traded on Spotlight’s observation list. Spotlight will, given approval of the listing process, work towards a fast transfer to the ordinary list. If the Company is not able to fulfil the terms in the listing agreement Spotlight will delist the Company.
