Med hänvisning till pressmeddelandet som QuickCool AB publicerade i dag klockan 15:17 ”Förtydligande avseende utvärderingen av det förslag som kommer att säkra långsiktig finansiering”, har Spotlight i samråd med Finansinspektionen beslutat att handeln i QuickCool AB:s aktie och teckningsoption ska återupptas imorgon den 30 augusti 2019 klockan 09:00.
Bolagets aktie (QUICK) och teckningsoption (QUICK TO 2) flyttas till Spotlights observationslista med hänvisning till informationen i de pressmeddelanden som QuickCool AB offentliggjorde:
- den 10 maj 2019 “Flaggningsmeddelande. Biovations Sciences Ltd innehar mer än 25% av aktierna i QuickCool AB”.
- den 20 juni 2019 ”Kommuniké från extra bolagsstämma”.
- den 29 augusti 2019 ”Förtydligande avseende utvärderingen av det förslag som kommer att säkra långsiktig finansiering”.
- den 29 augusti 2019 ”Halvårsrapport”.
Av pressmeddelandena framgår att bolaget har en ny huvudägare med ett innehav om cirka 25 procent av bolagets röster och kapital, att bolaget har fyra nya styrelseledamöter och att bolaget utvärderar att genomföra ett omvänt förvärv samt att det råder en osäkerhet kring bolagets finansiella ställning och framtida finansiering. Mot bakgrund av detta bedömer Spotlight att det föreligger en osäkerhet kring såväl bolaget som bolagets framtida finansieringen. Med anledning av detta flyttas bolagets aktie och teckningsoption till Spotlights observationslista.
Spotlight kommer löpande pröva om det finns förutsättningar att återföra bolagets aktie och teckningsoption till ordinarie lista.

Resumed trading in QuickCool AB:s share and subscription option and observation list
With reference to the press release published by QuickCool AB at 15:17 CET today, “Clarification regarding the investigation of the proposal that would secure the long-term financing”, Spotlight has in consultation with the Swedish Financial Supervisory Authority decided that the trading in the share and subscription option of QuickCool AB shall be resumed tomorrow August 30, 2019, from 09:00 CET.
The shares (QUICK) and subscription option (QUICK TO 2) in QuickCool AB will be traded on Spotlight´s observation list with reference to information in the press releases:
- May 10, 2019 “Flagging. Biovations Sciences Ltd holds more than 25% of shares in QuickCool AB”.
- June 20, 2019 ”Statment from the general meeting”.
- August 29, 2019 ”Clarification regarding the investigation of the proposal that would secure the long-term financing”.
- August 29, 2019 ”Half year report”.
The press releases states that the company has a new major shareholder with a holding of approximately 25 percent of the company’s votes and capital, that the company has four new board members, that the company is evaluating a reverse acquisition and that there is uncertainty about the company’s financial position and future financing. With reference to the information, Spotlight assesses that there is uncertainty regarding both the company and the company’s future financing. As a result, the company’s share and subscription option are transferred to Spotlight’s observation list.
Spotlight will continuously assess whether there are conditions to return the company’s share and subscription option to the ordinary list.
